Welcome to GRN Bookkeeping Services. By accessing our website or utilizing our professional bookkeeping, payroll, and consulting services, you agree to comply with and be bound by the following Terms of Service. Please read them carefully.
1. Scope of Services
GRN Bookkeeping Services provides professional general ledger management, accounts payable/receivable oversight, payroll administration, and general financial reporting.
No Fiduciary or Legal Advice: While we strive to provide precise, clean financial records to empower your business decisions, the insights, blog posts, or educational tools (such as the "Balance Sheet Glove" concept) shared on this site or during onboarding do not constitute formal tax advice, legal counsel, or fiduciary investment advising. For specialized corporate tax filing or auditing, clients should consult a licensed CPA or tax attorney.
2. Client Responsibilities & Data Accuracy
To ensure the integrity of your financial reporting, you agree to:
Provide timely, accurate, and complete financial documentation, receipts, bank feeds, and access credentials necessary to perform our duties.
Review all finalized statements and reports promptly. GRN Bookkeeping Services is not liable for errors, missed tax deadlines, or penalties resulting from inaccurate, fraudulent, or delayed data provided by the client.
3. Fees, Invoicing, and Payment Terms
• Billing Structure: Services are billed on a recurring monthly fixed-fee or subscription basis.
• Payment Terms: We operate on a pre-paid service model to ensure uninterrupted ledger management. On the first (1st) day of each month, a sales receipt is automatically initiated for the bookkeeping and payroll work scheduled to be completed during that calendar month.
• Payment Method: All payments are automatically processed via Automated Clearing House (ACH) utilizing the client’s verified business bank account securely linked through our QuickBooks Online (QBO) platform.
• Service Delays: It is the client’s responsibility to ensure adequate funds are available. If an ACH transaction fails or is rejected, accounts remaining unresolved past fifteen (15) days from the initial processing date may experience a temporary suspension of ledger updates, software access, and active bookkeeping workflows until a valid payment is successfully cleared.
4. Cancellation and Termination Policy
You may terminate your service agreement at any time. However, to ensure an orderly closing of your monthly books and transition of account access, we require a written notification.
• Notice Period: A 30-day notice is required for all subscription cancellations.

5. Intellectual Property
All content, branding, website graphics, proprietary operational systems, and custom training or educational materials displayed on this website are the sole property of GRN Bookkeeping Services and are protected by copyright laws. You may not reproduce or redistribute our material without explicit written consent.
6. Limitation of Liability
To the maximum extent permitted by law, GRN Bookkeeping Services shall not be liable for any indirect, incidental, or consequential damages—including but not limited to loss of profits, data corruption, or business interruption—arising out of the use or inability to use our website or services, even if advised of the possibility of such damages. Our liability is strictly limited to the total fees paid by the client during the three (3) months immediately preceding the event giving rise to liability.
7. Privacy and Mobile Communications
Your data security is paramount to us. The collection, storage, and utilization of your personal data, including the security protocols surrounding phone numbers captured via our web contact forms for SMS notifications, are strictly governed by our Privacy Policy and our specialized SMS Terms of Service. We do not share or sell mobile information to third parties for marketing purposes.
8. Governing Law
These Terms of Service and any distinct service contracts shall be governed by, and construed in accordance with, the laws of the State of Hawaii, without regard to its conflict of law principles. Any legal actions must be initiated in the state or federal courts located in Hawaii.
9. Changes to Terms
We reserve the right to update these Terms of Service at any time. When updates occur, we will revise the "Last Updated" date at the top of this page. Your continued use of our website or services following any changes constitutes your formal acceptance of the revised terms.
10. Severability and Entire Agreement
• Entire Agreement: These Terms of Service, together with our Privacy Policy, SMS Terms of Service, Cancellation Policy, and any signed distinct service contracts, constitute the entire and exclusive agreement between you and GRN Bookkeeping Services regarding the use of our website and services. This agreement supersedes and replaces any prior written or oral agreements, representations, or understandings between the parties.
• Severability: If any provision or portion of these Terms of Service or the incorporated policies is determined to be invalid, illegal, or unenforceable by a court of competent jurisdiction or regulatory authority, that specific provision will be limited or eliminated to the minimum extent necessary. The invalidity of such provision shall not affect the validity, legality, or enforceability of any other part of these Terms, and all remaining provisions will continue in full force and effect.
